EasyClaw Subscription Service Agreement

Welcome to use EasyClaw Subscription Service ("Service"). Please read, understand and comply with the following agreement. This agreement is a legally binding legal agreement between you and DocuAgile Pte. Ltd. ("Company" or "us"), a company duly organized and validly existing under the laws of Singapore, with respect to your use of the EasyClaw Subscription Service.

I. Introduction

1. The Service is provided by DocuAgile Pte. Ltd. and its affiliates (if any) to you. The Service covers membership, automatic renewal, point purchase and related services covering the overseas client application, cloud service and supporting mobile application of EasyClaw. This Agreement is to specify the core rights and obligations of both parties, and to guarantee their legitimate rights and interests.

2. You shall carefully read and fully understand all terms and conditions of this Agreement before using the Service, especially those provisions which we have reasonably reminded you to pay attention to (including but not limited to rules of prepayment, refund, exemption or limitation of liability, etc.), and have the right to seek detailed explanation and explanation of such provisions.

IF YOU DO NOT AGREE TO ANY TERMS AND CONDITIONS HEREIN, PLEASE DO NOT MAKE THE PREPAYMENT; ONCE YOU MAKE THE PREPAYMENT, YOU SHALL BE DEEMED TO HAVE READ AND AGREED TO THE ENTIRE AGREEMENT, WHICH SHALL COME INTO FORCE AND EFFECT BETWEEN YOU AND US AND SHALL BE BINDING ON BOTH OF US WITH IMMEDIATE EFFECT.

3. You shall confirm that you have the full capacity for civil rights and civil conducts under the laws of Singapore, i.e. you have attained the age of 21 (the legal age of majority in Singapore) and are able to bear all legal responsibilities arising from the use of the Service. If you are under the age of 21, please do not register an account or purchase the Service. If the guardian of a minor agrees to use the Service by the minor, the guardian shall bear all legal responsibilities and we reserve the right to refuse to provide service to the minor.

II. Application Scope

1. This Agreement constitutes an agreement between you and DocuAgile Pte. Ltd. ("us" or "us") regarding your use of the Service.

2. This Agreement is supplemental to the EasyClaw End User License Agreement and the EasyClaw Privacy Policy and shall constitute an integral part of the EasyClaw Agreement. In the event of any conflict or inconsistency between this Agreement and the aforementioned documents, this Agreement shall prevail. Matters not mentioned herein shall be governed by the EasyClaw End User License Agreement and the EasyClaw Privacy Policy.

III. Definitions

1. "EasyClaw"

Means the client application, cloud service, official website (easyclaw. com) and supporting mobile application legally owned and operated by the Company, subject to the version actually used by you. The Company shall have the right to adjust products based on its business development.

2. "User"

Means in particular, the natural person with full civil capacity who logs in, registers and uses EasyClaw, and intends to apply for or use the Subscription Service, which "User" in this Agreement means "You" (the individual User).

3. "Subscription Service"

Shall refer to the value-added service whereby a user, by paying USD, subscribes to EasyClaw membership in order to obtain the corresponding points and rights and interests within products.

4. "Automatic Renewal Subscription"

"Automatic Subscription" "Automatic": "You IP". "Normal Subscription": "Normal Subscription": "Normal Subscription" Normal Subscription "" You ":" You are not ONLY. "" NORMAL Subscription "

5. "Subscription Membership Benefits"

The Subscription Membership Packages currently provided by the Service include Free (Free Version), Plus (Basic Version), Pro (Professional Version) and Ultra (Ultimate Version), among which, Pro and Ultra Versions support the choice of multiple customized credit limits. The Company shall have the right to add or adjust the versions and slots of the membership interests in light of its business development. Different versions/slots correspond to different precharge amount, number of points and service interests. The details shall be subject to the real-time announcement on the subscription page of the product.

6. "Credits"

Refer to the virtual benefits obtained by the users after completing the subscription, which can only be used on the EasyClaw Platform. They shall not be converted into any legal tender, and shall not be transferred, given or sold to any third party (including other enterprises and individuals).

7. "Monthly credits"

Refer to fixed amount of credits issued according to the subscription period after a user subscribes to the membership of corresponding slot. The validity period of which is bound to the corresponding interest period.

8. "Daily credits"

Refer to the additional credits that a user subscribes to the membership of corresponding slot. The credits will be reset at fixed time every day. Unused credits will become invalid automatically and will not be carried forward.

9. "Calendar Month"

Refers to a calendar month lasting 31 consecutive days.

10. "Subscription Period"

Divided into Monthly Subscription Period (1 calendar month) and Annual Subscription Period (12 consecutive calendar months), i.e. the total duration of the membership services that we promise to provide you with you and you pay for the subscription.

11. "Monthly Interest Period"

Refers to the period of issuance, use and validity period of the membership benefits, which corresponds to the calendar month during the subscription period.

12. "Invoice Date"

Refers to the date on which you successfully make the first automatic subscription, which is the base date of benefit issuance, automatic renewal and deduction of fee for each subsequent automatic subscription period; if the Invoice Date is changed in special circumstances such as cross-dimension upgrade, the provisions of this Agreement shall prevail.

13. "Same Dimension Upgrade"

Shall mean the upgrade of you from low Geared Member's Package to high Geared Member's Package in the same Subscription Period Type, including the Geared upgrade in monthly subscription package and the Geared upgrade in annual subscription package (for example, monthly Plus upgrade to monthly Pro).

14. "Cross-dimension upgrade"

Refers to your upgrade from the monthly subscription package to the annual subscription package.

IV. Subscription service descriptions and rules

1. Type of service: EasyClaw subscription service is divided into Automatic Renewal subscription and Normal subscription. Different types of subscription provided by different products may be different. Please refer to the clear instructions on the product homepage when you make purchases.

2. Detailed Rules for Automatic Renewal Subscriptions

2.1 Notification and Consent of Automatic Renewal

If you have purchased an Automatic Renewal subscription, we will notify you in a prominent way on the purchase page. You must actively confirm and agree before we open the Automatic Renewal subscription for you.

  • (1) Renewal Period: coincides with the Subscription Period (monthly/annually) with your first purchase
  • (2) Charging Standard: the same as the price of the subscription package when you first purchase; of any price changes, we will notify you in advance and obtain your consent therefor
  • (3) Time of Automatic Deduction: within 24 hours before the expiration of the current subscription period
  • (4) Method of Deduction: the corresponding fee will be automatically deducted from your related payment account.

You shall acknowledge that, by activating an Automatic Renewal subscription, you shall be deemed to have authorized us to automatically deduct the subscription before the expiration of each subscription period in accordance with the foregoing, without the need to obtain your consent again on a case-by-case basis.

2.2 Cancellation of Automatic Renewal

You have the right to cancel the Automatic Renewal subscription at any time:

  • (1) Cancellation path: main interface → points → billing and usage → use → management → change of subscription plan;
  • (2) Cancellation time limit: the cancellation must be made at least 24 hours before the expiration of the current subscription period;
  • (3) Rights and benefits after cancellation: membership services for the current subscription period may continue to be normally used until the expiration of the period. After the expiration of the period, subscription will not be automatically deducted for renewal.

Overdue explanation: if you fail to cancel the subscription within the time limit, the system will automatically deduct the subscription according to the agreement, and no unconditional refund will be supported in that period after the subscription is successfully renewed.

2.3 Handling of Failure of Automatic Deduction

If the automatic deduction of the subscription fails due to insufficient balance in your payment account or restriction on payment channels, we will terminate the Automatic Renewal service, and your benefit of subscription membership will expire at the expiration of the current subscription period.

3. Detailed Rules for Normal Subscriptions

If you have purchased a Normal Subscription:

  • (1) The service will terminate automatically upon expiration of subscription, and no automatic renewal will be made;
  • (2) To continue to use, please manually re-purchase the subscription before or after expiration of the subscription;
  • (3) No cancellation is necessary.

V. Subscription Packages and Description of Benefits

1. Packages and bracket descriptions

1.1 We provide you with free version and paid version of membership packages. The paid version includes Plus version, Pro version and Ultra version, which support two payment periods (monthly subscription and annual subscription). Annual subscription is entitled to corresponding discount, and the specific discount percentage shall be subject to the real-time announcement on the subscription page of the product.

1.2 The Plus version only provides one fixed tier of interest and point amount; while the Pro and Ultra versions provide several tiers of custom-defined point amount. You may choose the corresponding tier based on your needs. Different tiers correspond to different subscription price and monthly point amount. The specific tier shall be subject to the real-time announcement on the subscription page of the product.

1.3 After opening the subscription service, you may enjoy corresponding membership interests specified in the package/tier purchased during the subscription service validity period. The specific membership interests, point amount and applicable scope corresponding to each package/tier shall be subject to the real-time display on the product interface when you actually make purchases. Please read this Agreement and the rules published on the product purchase interface carefully before purchase.

1.4 To enhance the usage experience, we support members to purchase additional point supplement package on the basis of the existing subscription packages. The number of points that can be purchased, the relevant rules and price shall be subject to the contents published on the purchase page when you actually make purchases.

1.5 The subscription service you have opened may be used in connection with the overseas client application of EasyClaw, cloud service and supporting mobile products, and the rights and interests and points shall be interconnected and shared among various platforms. The specific service forms available shall be subject to the applicable scope displayed on the product interface when you make purchases.

1.6 For the avoidance of doubt, the Subscription Interest under this Agreement shall be independent, non-interoperable and non-transferable from the Subscription Interest in connection with any other products of the Company.

2. Equity issuance and validity rules

2.1 The validity period of your membership shall be subject to the subscription period you select when you make purchase, which shall be calculated from the effective date of the subscription order.

2.2 The membership interests and points received by subscribing to paid members shall be subject to the corresponding issuance rules for the subscription period you select after the subscription becomes effective, which are specified as follows:

  • (1) Monthly Subscription Period: on the date when subscription becomes effective/on the date when each automatic renewal is successful, the monthly points will be paid in full in a lump sum for the corresponding slot; daily points will be paid on a daily basis, and the points not used on that day shall become invalid automatically and shall not be carried forward.
  • (2) Annual Subscription Period: upon successful subscription/on the date when each automatic renewal is successful, the monthly points will be paid on a monthly basis based on the split interests of 12 calendar months; daily points will be paid on a daily basis, and the points not used on that day shall become invalid automatically and shall not be carried forward.
  • (3) Cloud services-related interests: it shall be bound to your monthly interest period and measured on a calendar month basis. The corresponding quota will be issued at the beginning of the monthly interest period, and the specific quota shall be subject to the disclosure on the purchase page.
  • (4) After the package upgrade becomes effective, the current monthly benefits and points shall be retroactively issued as agreed herein; the upgraded automatic subscription and benefit issuance rules shall be implemented based on the subscription period corresponding to the new package, and the issuance time shall be a new billing date.

2.3 The validity period of the rights and interests granted on a monthly basis shall be the corresponding natural monthly period, and the unused rights and interests of members and points shall be automatically invalidated at the expiration of the current period; unless otherwise stipulated by laws and regulations or expressly stipulated in the Agreement, the unused rights and interests shall not be carried over to the next period or be discounted and refunded.

2.4 Daily points shall be reset at a certain time on a daily basis, and the points not used on that day shall become invalid automatically, and shall not be carried forward or refunded.

3. Package upgrade rules

3.1 You may apply to upgrade an existing package to a package of a higher tier/dimension at any time during the validity period of the subscription, and the application for upgrade shall become effective immediately upon completion of the payment therefor.

3.2 Same dimension upgrade rules

  • (1) Calculation of fees: upgrade price difference to be paid by you = (monthly price of the new package – monthly price of the original package) * (remaining valid days of the current billing period/total days of the current billing period). The specific amount shall be subject to the real-time calculation and publicity on the upgrade page.
  • (2) distribution of benefits: upon the effectiveness of the upgrade, we will immediately supplement the corresponding balance points to you. Amount to be supplemented = (the balance of points of the old and new packages) * (percentage of the remaining time of the current billing period)
  • (3) Billing Rules:
    • - If your original subscription is automatic renewal subscription and the new packages after the upgrade are also automatic renewal subscription: the upgrade of the same dimension shall not change your original billing date, and the price and tier of the new packages after the upgrade shall be applied to the subsequent automatic renewal;
    • - If your original subscription is normal subscription but upgrade to automatic renewal subscription: the new billing date shall be changed to the payment date for the upgrade, and the subsequent automatic renewal shall be based on the standard of the new packages;
    • - If your original subscription is automatic renewal subscription but upgrade to normal subscription: the upgrade will not be automatically renewed, and the service will be automatically terminated upon expiration of the subscription period.

3.3 Trans-dimensional upgrade rules (from monthly subscription to annual subscription)

  • (1) Calculation of fees: the system will calculate the current balance value based on the proportion of the remaining period of your old package and use it to deduct the payment amount of the new package. The specific amount shall be subject to the real-time notification on the upgrade page.
  • (2) distribution of benefits: upon the effectiveness of the upgrade, we will immediately pay you the full monthly points for the first month of the new annual package, and shall distribute benefits on a monthly basis in accordance with the annual subscription rule thereafter.
  • (3) Billing Rules:
    • - Upon the effectiveness of the inter-dimensional upgrade, your original monthly subscription period shall terminate;
    • - The new billing date (where applicable) shall be changed to the payment date for the upgrade;
    • - The subsequent automatic renewal (where applicable) shall apply the standard of the new annual package.

3.4 After the completion of the upgrade, the price difference paid will not be refunded unless otherwise expressly provided in the Singapore laws.

4. In order to continuously improve your service experience and perfect your service content, we may launch optimization and update to member service content and entitlement rules. The optimization and update shall not involve the subscription price of the paid effective period and shall not reduce the core benefits that you have purchased and within the effective period. Where it is necessary to adjust some non-core functions or benefits that have been launched, we will make an explanation in advance in accordance with the principles of reasonableness, transparency and fairness.

VI. Description for Prepayment and Refund

1. Top-Up fees

1.1 The charging standards of each top-up version shall be calculated in USD, and the specific amount shall be subject to the real-time announcement on the top-up page. The company shall have the reasonable pricing right for the top-up service, and such pricing shall be in strict compliance with the relevant provisions of the Consumer Protection (Fair Dealing) Act (CPFTA) of Singapore so as to ensure that prices are fair, transparent and free from misleading pricing, and adapted to users' consumption demand.

1.2 You shall complete the top-up payment through the payment channels designated by the company (including, without limitation, international payment channels such as Stripe and Alipay). The payment methods supported by different terminals and systems may be different. Please follow the instructions on the payment page. If the payment fails or the top-up service cannot be processed due to problems with your payment account (such as insufficient balance, freezing of account, or incorrect information), you shall bear the relevant responsibilities by yourself, and the company can provide necessary assistance.

2. Top-Up refund rules

2.1 The points corresponding to the top-up service are the virtual consumption rights and interests, so upon the effectiveness of the subscription order, we shall begin to deliver membership service for the corresponding period to you; the consumption of real computing power in the course of your use of AI Service is part of the actual service costs incurred by us during the provision of service to you. Once the subscription is successful and the interest is consumed, in principle, no refund will be made. You are required to carefully check such information as the top-up version, the amount and other information prior to the top-up. Prudent operation: (1) failure to top-up or failure to transfer points to an account due to the fault of the company, which cannot be settled by retroactive payment to an account; (2) other circumstances expressly provided for by the laws of Singapore that the top-up shall be refunded.

2.2 If the above conditions for refund are met, you are required to contact the customer service of the company within 14 working days after the occurrence of the relevant situation and provide the relevant supporting materials and top-up vouchers (including but not limited to screenshots of the top-up order, payment voucher and description of the relevant issue). After the company verifies the aforementioned materials and vouchers, we will refund the relevant amount to you in the original payment method (deducting the fees corresponding to the points that you have used). The time of payment for the refund shall be subject to the time limit of payment specified in the payment channel.

2.3 After you submit an application for downgrading of the package, no matter the downgrading is valid or not, you shall not be entitled to apply for a refund for the paid subscription fees for the current billing period. We have delivered to you all the corresponding membership rights and interests for the current billing period, and the relevant service costs have been actually incurred.

2.4 We always recommend that you fully try the free service, review the service benefits, price, subscription period and usage rules and carefully verify your account information before making any purchase of the subscription services so as to prudently complete the purchase.

VII. General Rules

1. You shall properly keep your EasyClaw user account and password and shall not disclose them to any third party (including other enterprises and individuals). You shall be fully responsible for the loss of points, abnormal use of account and other problems caused by non-corporate reasons such as disclosure, theft or loss of the account, and the company shall not assume any liability for compensation.

2. You are prohibited from obtaining points by any illegal means (including but not limited to taking advantage of system loopholes, malicious software and stolen account, etc.), tampering with point records, or illegally transferring or selling points. If the company find the above behaviors, the company shall have the right to immediately disable your user account, cancel the unused points in your account, not refund the recharge fees that have been collected, and take action against your legal liabilities. You shall bear the full liability for compensation if any losses are caused to the company.

3. Your subscription member account is only for use by yourself, and may not be lent, rented or shared to any third party, or used to engage in any illegal or profit-making activities. If we find any of the above behaviors, we have the right to take such measures as service suspension, agreement termination in accordance with the relevant provisions on service termination under this Agreement, and the fees that have been collected shall not be refunded.

4. The company shall strictly abide by the Personal Data Protection Act (PDPA) of Singapore to properly protect relevant data and information relating to the recharge, and shall not divulge, sell or misuse your relevant information without authorization, unless such disclosure, sale or misuse is permitted by the law or explicitly authorized by you.

5. In the event that the recharge service is interrupted and points cannot be used normally due to reasons that are not attributable to the Company, such as change of Singapore laws and regulations, government regulatory requirements, force majeure, system failures, network problems, defects of third-party services, etc., the company shall not be liable for compensation, but will try its best to take measures to restore the service and promptly notify you through official channels.

6. The relevant costs such as any equipment (such as office computer, mobile phone, etc.) and network fees required for your use of the Service and payment handling fees shall be borne by you.

VIII. Suspension and Termination of Service

1. Suspension or termination of the Service mainly includes the following situations:

  • (1) Your active termination: including but not limited to the expiration of your subscription period, active cancellation of automatic renewal, application for cancellation of user account, unilateral termination of subscription contract, etc.;
  • (2) Suspension/Termination for Breach: We legally suspend or terminate services to you due to your breach of any agreements hereunder, product rules or relevant laws and regulations in Singapore;
  • (3) Statutory Suspension/Termination: The Service is required to be suspended or terminated pursuant to the laws of Singapore or government authorities;
  • (4) Termination for Business Adjustment: In the event that the Service can no longer be provided due to force majeure, overall adjustment of the business of the Company or other reasons, we shall notify you at least 30 calendar days in advance through official channels, and refund you the subscription fees pro rata to the period of unused service.

2. If you violate any agreements hereunder, product rules or relevant laws and regulations in Singapore, we will be entitled to, depending on the severity of the violation, take one or more of the following actions:

  • (1) Giving a warning to you and requiring you to rectify it within a specified time limit;
  • (2) Suspending the provision of part or all subscription services to you until the violation is eliminated;
  • (3) Terminating this Agreement, canceling your account and invalidating the unused points and benefits in your account and the subscription fees that have been collected will not be refunded;
  • (4) Prosecuting your legal responsibility according to law. If any loss is caused to us, you shall bear the full responsibility for compensation.

3. In the event of suspension or termination of services, except for urgent violations, the Company shall have the right but not the obligation to send you notice and you may confirm the service status by logging into your account or contacting the client service.

4. Upon the termination of service, the unused points and membership rights in your account will be automatically invalid, unless otherwise provided by laws and regulations or this Agreement or downgrading of subscription packages by you. Unless otherwise mandatorily required by law, after the termination of services, we shall keep your relevant data in accordance with the requirements of the PDPA. The data kept beyond the statutory retention period will be anonymized or deleted according to law.

IX. Risk and Responsibility

1. You shall be fully liable for any loss caused by your violation of the provisions hereof or relevant laws of Singapore or your improper operation, account leakage, etc.; and you shall bear full liability for indemnification for any losses caused to the Company, other users or any third party as a result thereof.

2. The Company does not guarantee that the Service will be trouble-free or interruption free. In the event of any temporary interruption of service due to technical problems, system maintenance or other reasons, the Company will endeavor to repair the interruption as soon as possible and will not assume any additional liability for compensation, but will notify you in advance through official channels (except in the case of emergency).

3. When you recharge through a third party payment channel, there may be risks of theft, fraud and so on of your corporate payment account which shall be borne by you alone. The Company is unable to control such risks, nor is it obligated to claim liabilities or compensate losses from criminals on your behalf, but will provide necessary assistance to the extent permitted by law.

X. Complaints and Contact Information

If you have any questions, complaints, comments or suggestions regarding this Agreement, prepayment service, use of points and other related matters, you can contact us at support@easyclaw.com, and we will respond to you in a timely manner within the reasonable period provided by the laws of Singapore and try our best to resolve the relevant issue for you.

In case of making complaint or feedback, you shall provide true, legal and valid account information and charge record (such as charge record, screenshots, etc.) to ensure the authenticity of the feedback information. If you provide false information, you will be held liable accordingly.

XI. Miscellaneous

1. The formation, effectiveness, performance, interpretation and dispute resolution of this Agreement shall be governed by the laws of Singapore. If any term of this Agreement is invalid due to in conflict with the relevant laws or regulations in Singapore, the term shall be reinterpreted in accordance with the principles which come closest to the intention of this Agreement, so as to be consistent with the applicable law, and the remaining terms shall continue in effect and be binding upon both parties.

2. This Agreement is signed in Singapore. You may contact us at support@easyclaw.com to report any problems that you may have while using the Service. Most problems can be resolved quickly in this manner. You and Company each agree to use best efforts to resolve any dispute, claim, question or difference directly through discussion and good faith negotiations as a condition precedent to either party's right to commence litigation or arbitration.

3. If the parties fail to reach a unanimous resolution of the dispute, either party may initiate binding arbitration. Any dispute, controversy or claim arising out of or in connection with this Agreement, including the validity, invalidity, breach or termination thereof, shall be finally settled by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the Hong Kong International Arbitration Centre Administered Arbitration Rules in force when the notice of arbitration is submitted.

4. Company shall have the right to amend and improve this Agreement according to the updates of the laws of Singapore and business development needs. The amended Agreement shall be publicized through the official announcement of EasyClaw, the reminder of the product webpage or other methods, and shall take effect from the date of publicity. If you continue to use the Recharging Service, you shall be deemed to have agreed the amended Agreement.

5. Headings in this Agreement are inserted for convenience only and shall not affect the meaning or interpretation of any term hereof.
